In no event shall Vyex LLC or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this Vyex LLC product, even if Vyex LLC has been advised of the possibility of such damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

LICENSEE understands that the Software is subject to export control laws and regulations.

LICENSEE may not download or otherwise export or re-export the software or any underlying information or technology except in full compliance with all United States and other applicable laws and regulations.

LICENSEE is responsible for paying any sales or use tax imposed at any time whatsoever on this transaction.

LICENSEE acknowledges that LICENSEE has read this Agreement, understands it, and agrees to be bound by its terms and conditions. This Agreement embraces the full and complete understanding of the parties as to the subject matter hereof and supersedes any prior agreement, whether written or oral, relating to the subject matter hereof, and may not be altered or modified, except by written amendment which expressly refers to this Agreement and which is duly executed by authorized representatives of both parties. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. Further, this Agreement shall be construed and governed in accordance with the laws of the State of Wisconsin, excluding the application of its conflicts of law rules.
