10. Trademarks and Other Markings
Buyer shall remove any and all of ASSA’s trademarks, labels, distinctive markings, and designs which may appear on any Product or on the packaging material therefore at the time of delivery of such Product and to refrain from making any use of such trademarks, labels, distinctive markings and designs.
11. Miscellaneous
11.1 Governing Law
The validity and interpretation of these terms and conditions of sale shall be governed by the laws of the State of Connecticut without regard to its principles of conflicts of law.
11.2 Force Majeure
ASSA shall not be liable for its failure to perform here- under due to any contingency beyond its reasonable control, including without limitation acts of God, fires, floods, wars, sabotage, accidents, labor disputes or shortages, governmental laws, ordinances, rules and regulations, whether valid or invalid (including, but not limited to, priorities, requisitions, allocations, and price adjustment restrictions), inability to obtain material, equipment or transportation, and any other similar contingency. In the event of delay due to any such cause, the date of delivery will be postponed by such length of time as may be reasonably necessary to compensate for the delay.
11.3. No Assignment
These terms and conditions of sale are not assignable or transferable by Buyer, in whole or in part, without the prior written consent of ASSA.
11.4 Modification
No modification or waiver of these terms and conditions of sale shall be effective unless made in a writing signed by ASSA. No course of action shall be deemed to modify these terms and conditions of sale.
11.5 Severability.
Whenever possible each provision and term of these terms and conditions of sale will be interpreted in a manner to be effective and valid but if any provision or term hereof is held to be prohibited by law or invalid,
