Terms and Conditions of Business

1] Conditions.

1.1These Conditions form the basis of the contract between the Seller and the Buyer in relation to the sale of Goods, to the exclusion of all other terms and condi- tions, including the Buyer’s standard conditions of purchase or any other conditions which the buyer may purport to apply under any purchase order or confirmation of order by any other document.

1.2Acceptance of our sales order acknowledgement or delivery of the Goods shall be deemed to be conclusive evidence of the Buyer’s acceptance of these conditions.

2] Changes to, re-sourcing of and substituting goods.

2.1Our suppliers often reserve the right to make small design changes to their products We have no control over this. We will tell you of any major changes which may affect product performance. If we can no longer obtain the exact goods featured in our brochure, but can re-source an almost

identical alternative; we will advise you whenever possible if the alternative is fundamentally different in design.

3] Prices.

3.1Our price shall be the price quoted on the Seller’s confirmation of order. The Buyer may request a confirmation of order from the Seller. Prices exclude VAT, which shall be due at the rate in force on the date of the Seller’s invoice. We will try and hold to, or quote from the prices listed in our catalogue. But we reserve the right to: a) quote more contemporary prices than those in the catalogue, or; b) increase any price prior to shipment, if caused by a major change in the currency exchange rate or increase in manufacturing costs.

3.2Additional postage, freight, delivery, assembly and set-up charges will be made by prior agreement between Buyer & Seller.

4] Cancellations.

4.1Many of our Goods are specially made-to order or imported-to-order; for this reason, the Buyer must take special care when cancelling or amending an order for goods. Failure to provide us with a written cancellation of the order before the goods are specially made or arrive from abroad, will leave the Buyer still liable to pay for the goods, or at least liable to a 25% surcharge if we are able to disassemble the Goods and return them to stock.

4.2We wish to avoid delivering such goods, only to find the end-user no longer needs them for any reason (for instance, they may no longer work for the Employer/ Buyer who ordered the goods) and the Employer / Buyer has neglected to inform us well in advance of this change in circumstances.

4.3The Buyer may cancel an order of goods excluding the type described in 4.1 by sending a written request to the Seller at any time up to receipt of the goods and within 7 working days thereafter, beginning with the day after the day the Buyer received the goods.

4.4If the Buyer wishes to return unsuitable Goods , the Buyer must return the Goods carriage paid, in perfect condition, in their original intact packaging, with appro- priate paperwork. If the Buyer fails to return the goods within a reasonable time, they will be liable for the cost of collection. We do not refund the original outward carriage costs.

5] Delivery.

5.1The Seller will do everything possible to despatch the Goods within 4-6 weeks of receipt of order, or on an agreed delivery date, but does not guarantee to do so, as the Seller is subject to the usual types of national and international freight hold-ups and manufacturing delays etc.

5.2The Seller shall not be liable to any loss or damage whether arising directly or indirectly from the late delivery or short delivery of goods. If short delivery does take place, the Buyer undertakes not to reject the Goods, but to accept the Goods delivered as part performance of the contract.

5.3If the Seller has arranged a specific time & date to deliver and demonstrate Goods to an end user, but the end-user is not there at the time of delivery, addi- tional charges will be made to cover storage and re-delivery an another date.

6] Claims for damaged goods.

6.1Visible transport damage and short deliveries must always be noted on the delivery note paperwork retained by our driver and the copy retained by the recipient. Damage to deliveries via Post Office or Carrier must be reported to the Seller within three working days.

6.2The Buyer shall be deemed to have accepted the Goods 36 hours after delivery.

6.3The Buyer shall carry out a thorough inspection of the Goods within 36 hours of delivery and shall give written notification to the Seller within 5 working days of delivery if the Goods have any defects which a reasonable examination would have revealed.

7] Title, Risk & Returns.

7.1The Goods are the risk of the Buyer from time of delivery.

7.2The Buyer does not own the Goods until they are paid for in full, including any additional interest and costs sought in compensation for late payment.

7.3All transactions on a sale-or-return basis must be agreed in advance between the Buyer and the Seller.

8] Warranties.

8.1 The Seller will honour the various warranties offered by manufacturers and suppliers of Goods sold to the Buyer.

9] Payment terms.

9.1Account customers: Payment of the Price and VAT shall be due within 20 days of the date of the Seller’s invoice. We reserve the right to charge interest on overdue invoices. Interest shall accrue from the date when payment becomes due, calculated on a daily basis until the date of payment. Such interest shall accrue after as well as before any judgement.

9.2Pro-forma customers: Goods will not be made-to-order or imported unless paid for in advance by non-account holders.

9.3Cash on delivery (cash or card). Such payments must be actual cash or by credit card. Cheques will only be accepted at the Seller’s discretion.

Card Payments.

10.1We accept most credit cards and some corporate purchasing cards. Buyers intending to pay by corporate purchasing card must advise us of their intention at the time of ordering.

10.2We reserve the right to refuse payment by card and insist on payment by cheque or BACS if we do not have a prior arrangement for particular customer to pay by card.
