IMPORTANT- This Agreeme nt legally binds you (ei ther an individ ual or an entity), t he
end user (“Licensee ”), and MIPS Technolo gies, Inc. (“M IPS”) whose st reet address an d

1. DEFINITIONS-The fo llowing denition s apply to this Agree ment:
“Authorized Produc t” shall mean a prod uct developed by M IPS or under a lice nse that
was granted by MIPS .
“Documentation” s hall mean documen ts (including any u pdates provided o r made
available by MIPS sol ely at its discre tion), and any informat ion, whether in w ritten,
magnetic media, el ectronic or oth er format, prov ided to Licensee de scribing the
Software, it s operation and ma tters relat ing to its use.
“GPL Materials” sha ll mean any source or ob ject code provid ed by MIPS to Licens ee
under the terms of the G NU General Pu blic License, Ver sion 2, June 1991 or late r
(“GNU GPL”).
“IP Rights” shall me an intellectu al propert y rights includi ng, but not limite d to, patent,
copyright, trade s ecret and mask wor k rights.
“Licensee Code Modi cations” shall m ean any modicati ons to YAMON Code and/or
other code provided to L icensee by MIPS , made by or on behalf of Li censee.
“MIPS Code Modic ations” shall mea n modications to YAMO N Code and/or other

Materials.
“Software” sha ll mean softwa re containing YAMON C ode, any other sour ce and/or
object code provide d by MIPS at its sole d iscretion, and a ny Documentati on contained in
such software at M IPS’ sole discre tion.
“YAMON Code” shall mean so urce and/or objec t code for the YAMON monito r
software, Ver. 1.01, or lat er (including any up dates provided or m ade available by MI PS
solely at its discre tion).
2. MIPS LICENSE GR ANTS
(a) Subject to License e’s compliance with t he terms and condi tions of this Agree ment and
payment of any fees owed to MI PS, MIPS gra nts to Licensee a non -exclusive, wo rldwide,
non-transfera ble, royalty- free, fully-p aid limited righ t and license to:
(i) use the MIPS Deliver ables at Licens ee’s facilities sol ely for Licensee’s in ternal evalua tion
and development pur poses (and to use, copy and r eproduce and have r eproduced
Documentation sol ely to facilitate t hose uses of MIPS De liverables th at are allowed
hereunder), and to sub license Licensee’s r ights grante d in this Subsect ion 2(a)(i) to
Licensee’s consulta nts for their use of th e MIPS Deliver ables at their fac ilities for their
internal evaluation and development purposes;
(ii) make, use, impor t, copy, reproduce , have reproduced , modify, create de rivative work s
from YAMON Code only in conju nction with ma king, using, imp orting, offe ring for sale
and selling or other wise distrib uting Authori zed Product and o nly for use exclusive ly
with such Authori zed Product, an d to sublicense its r ights grant ed in this Subsect ion
2(a)(ii), including the righ t to grant furt her sublicenses , provided that w ith respect to
any sublicensee, (A) any IP R ights arising i n any modication o r derivative wo rk created
by such sublicensee sha ll be licensed back to M IPS together wi th the right by MIP S to
sublicense such righ ts and grant fur ther sublice nses, and (B) the obl igations of Subse ction
2(c) below shall apply equall y to any YAMON Code modied a nd/or sublicense d by
such sublicensee. Th ese obligations s hall be deemed to hav e been satised by L icensee’s
delivery of a copy of this Ag reement to its s ublicensee(s).
(b) MIPS furth er grants to Lice nsee a non-exclu sive, worldwid e, non-trans ferable,
royalty-free, f ully-paid limi ted right and licen se under MIPS’ I P Rights in any MIP S Code
Modications in exi stence now or at any tim e during the ter m of this Agreemen t
(including those IP R ights assigned t o MIPS or licensed t o MIPS with suf cient sublicen sing
rights to satisfy t he license grant i n this Subsecti on 2(b)) to the limited ex tent that
Licensee may make, use an d import such M IPS Code Modic ations only in conju nction
with making, using , importing , offering for sal e and selling or othe rwise distr ibuting
Authorized Produ ct and only for use exc lusively with su ch Authorized Pr oduct, and
sublicense its rig hts granted in th is Subsection 2( b), including the rig ht to grant fur ther
sublicenses under th e precondition s set forth in Sub section 2(a)(ii) above . Licensee
acknowledges and agr ees that MIPS (or any t hird party) is u nder no obligati on to deliver
MIPS Code Modica tions; rather, thi s license right is in tended solely to pr ovide a freedom
to use such modicatio ns when created in dependently by L icensee or any subli censee
thereof.
(c) Any YAMON Code modied and /or sublicensed pur suant to this Agr eement must (i )
contain all copyrigh t and other notices con tained in the or iginal YAMON Code prov ided
by MIPS to Licensee, ( ii) cause modied  les to carry pr ominent notices s tating that

assign, loan, or othe rwise tran sfer or convey the MIP S Deliverable s to any third par ty.
These license grant s are effecti ve as of the Effect ive Date. No license i s granted for any

(e) To the extent MIPS pro vides any GPL Mater ials to Licensee , use of such materi als
shall, notwiths tanding any provi sion of this Agree ment to the contra ry, be governed by

3. LICENSEE CODE MODI FICATIONS
In partial conside ration for the r ights and license s granted under S ection 2 herei n,
Licensee agrees to gr ant and does here by grant to MIPS a p erpetual, ir revocable, non -
exclusive worldwid e, royalty-fr ee, fully-pai d limited right an d license under Lic ensee’s IP
Rights in any License e Code Modicati ons (including tho se IP Rights ass igned to Licensee
or licensed to Licensee w ith sufcient s ublicensing rig ht to satisfy th e license grant in
this Section 3) to the ex tent that MIP S may make, use and impo rt such Licens ee Code
Modications only i n conjunction wi th making, using , importing , offering for sal e and
selling or otherwi se distribut ing Authorized P roduct and only f or use exclusively w ith
such Authorized Pro duct, and subl icense its righ ts granted in thi s Section 3, incl uding
the right to grant fu rther sublic enses. MIPS ack nowledges and ag rees that Licens ee (or
any third party) is un der no obligatio n to deliver Licens ee Code Modicat ions; rather,
this license right is in tended solely to pr ovide a freedom to u se such modicat ions when

4. OWNERSHIP AND PREV ENTION OF MISU SE OF MIPS DELI VERABLES
(a) This Agreement doe s not confer any right s of ownership in o r to the MIPS
Deliverables to Li censee; Licensee d oes not acquire any r ights, expre ss or implied, in
the MIPS Deliver ables other than t hose specied in Se ction 2 above. Li censee agrees
that all title and IP R ights in the MIPS D eliverables r emain in MIPS (sub ject only, if and
to the extent applic able, to the rig hts of a MIPS suppli er with respec t to a particula r
MIPS Deliverabl e(s)). Licensee agrees tha t it shall take all r easonable ste ps to prevent
unauthorized copying of the MIPS Deliverables.
(b) MIPS owns all rig ht, title and int erest in the YAMON Cod e and other MIPS
Deliverables (subje ct only, if and to the ex tent applicab le, to the right s of a MIPS supplier
with respect to a par ticular MIP S Deliverable (s)). Licensee shall own all ri ght, title and
interest in the modi cations and der ivative work s of the YAMON Code creat ed by
Licensee, subjec t to MIPS’ right s in the underly ing original YAMON Cod e as provided
under this Agreeme nt.
(c) Licensee agrees to pr ovide reasona ble feedback to MIP S including, but n ot limited to,
usability of the MI PS Deliverabl es. All feedback ma de by Licensee shall b e the proper ty of
MIPS and may be used by MI PS for any purpose .
(d) Licensee shall ma ke all reasonabl e efforts to dis continue distr ibution, copyi ng and use
of any MIPS Delivera bles that are rep laced by a new, upgrade d or updated versi on of any
such MIPS Deliver ables, includi ng distribut ion to any sublicense e of such new, upgrade d
or updated versions.
(e) Licensee shall not ma ke any statement of a ny kind or in any form at, that any MIPS
Deliverable is cer tied, or that i ts perform ance in connectio n with any produc t is
warranted, ind emnied or guar anteed in any way by MI PS or any party o n MIPS’ behalf.
(f) Neither YAMON, M IPS nor any other t rademark owne d or licensed in by MIP S
may be used by Licensee, any s ublicensee ther eof or any part y on their behalf wi thout
prior written co nsent by MIPS, in cluding at MIPS’ s ole discretion a t rademark lice nse
agreement preapproved by MIPS.
5. ASSIGNMENT
Licensee may not assign o r otherwise tr ansfer any of its r ights or obligat ions under this
Agreement to any thir d party with out MIPS’ pri or written con sent, and any att empt
to do so will be null and void. T his prohibiti on against Licen see’s assignment s hall apply
even in the event of merge r, re-organiza tion, or when a thi rd party pur chases all or
substantially al l of Licensee’s asset s. Subject to t he foregoing, thi s Agreement will b e
binding upon and will in ure to the benet of t he parties an d their respec tive permit ted
successors and assigns.
6. LIMITATIONS OF MIPS’ SUP PORT-RELATED OBLIG ATIONS
This Agreement doe s not entitle Lice nsee to hard-copy d ocumentation o r to support,
training or mainten ance of any kind from M IPS, includin g documentar y, technical, or
telephone assistance.
7. TERM AND TERMINATION
(a) This Agreement sha ll commence on the Ef fective Date. I f Licensee fails to pe rform
or violates any obligat ion under this Agr eement, then u pon thirty (3 0) days writte n
notice to Licensee speci fying such defau lt (the “Defaul t Notice”), MIPS may t erminate
this Agreement wit hout liabilit y, unless the breach s pecied in the Def ault Notice has
been cured within th e thirty (30) d ay period. This 3 0-day period m ay be extended up on
mutual, writte n consent betwee n the parties .
(b) Upon the termina tion of this Agree ment due to License e’s material bre ach hereof,
Licensee shall (1) immedia tely discontinue u se of the MIPS Deli verables, (2) pr omptly
return all MIPS De liverables to M IPS, (3) destr oy all copies of MIPS De liverables mad e
by Licensee, and (4) destr oy all copies of deri vative works of M IPS Delivera bles made
by Licensee while in bre ach of this Agreem ent. All licenses g ranted hereu nder shall
terminate as of the ef fective date of ter mination.
(c) The rights and obli gations under th is Agreement wh ich by their nature s hould survive
termination, incl uding but not limi ted to Sections 3 - 16, w ill remain in effe ct after
expiration or ter mination hereo f. Subject to Lice nsee’s compliance wi th the surviv ing
sections of this Agre ement identi ed herein, any sub licenses right fully granted a nd
derivative work s rightfully d eveloped pursu ant to Section 2 sh all survive the t ermination
of this Agreement.
8. DISCLAIMER OF WARRANTIES
THE MIPS DELIVER ABLES ARE P ROVIDED “AS IS”. MIPS MA KES NO WARRAN TIES
WITH REGARD TO ANY OF T HE MIPS DELIV ERABLES , AND EXPRESS LY
DISCLAIMS ALL WAR RANTIES , WHETHER E XPRESS, IMPL IED, STATUTORY OR
OTHERWISE, INCLUD ING, BUT NOT LIM ITED TO, THE IMPLI ED WARRANTI ES OF
TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-
INFRINGEMENT OF THIRD PARTY RIGHTS.
9. LIMITATION OF LIABILITY AN D REMEDY
(a) Licensee acknowle dges the MIPS Del iverables are p rovided to Licens ee only for the
purpose set fort h in Section 2. Lic ensee shall hold ha rmless and inde mnify MIPS fr om any
and all actual or thre atened liabili ties, claims or defe nses based on the su blicensing, use ,
copying, installat ion, demonst ration and/or mod ication of any of the M IPS Delivera bles
by Licensee, any sublice nsee of Licensee or a ny party on the ir behalf. Licens ee shall have
sole responsibili ty for adequate pr otection and back up of any data and/or e quipment
used with the MIPS De liverables , and Licensee shal l hold harmless an d indemnify MI PS
from any and all actual o r threatened lia bilities, clai ms and defenses for lo st data, re- run
time, inaccurate ou tput, work del ays or lost prot s resulting fro m use and/or modica tion
of the MIPS Deliver ables, or any por tion thereof, u nder this Agree ment. Licensee
expressly acknow ledges and agrees t hat any research o r development pe rformed wit h
respect to the MIP S Deliverable s is done entirely a t Licensee’s own ris k.
(b) NEITHER PARTY SH ALL BE LIABLE TO TH E OTHER PARTY OR TO ANY
THIRD PARTY FOR ANY DA MAGES INCLUDIN G, BUT NOT LIMI TED TO,
SPECIAL, CONSEQUENTIAL, PUNITIVE, INDIRECT, EXEMPLARY OR INCIDENTAL

hereof will be effec tive unless in wr iting and signed by t he party agai nst whom such
waiver or modicati on is sought to be enfor ced.
11. HA ZARDOUS APPLICATIONS
The MIPS Deliver ables are not inte nded for use in any nucle ar, aviation, mass t ransit,
medical, or other inh erently dange rous applicati on. MIPS EXPR ESSLY DISCLAI MS
ANY EXPRESS OR IM PLIED WARRAN TY OF FITNES S FOR SUCH USE. LI CENSEE
REPRESENTS AND WAR RANTS THAT IT WI LL NOT USE THE MIPS D ELIVERAB LES
FOR SUCH PURPOSES.
12. SEVERABILITY
In the event any provisio n of this Agreeme nt (or portion the reof) is dete rmined to
be invalid, illegal or o therwise une nforceable, the n such provision w ill, to the exten t
permitted, not b e voided but will ins tead be constru ed to give effect to i ts intent to the
maximum extent p ermissible und er applicable la w and the remainde r of this Agreeme nt
will remain in full for ce and effect accor ding to its terms . IN THE EVENT T HAT ANY
REMEDY HEREUNDER I S DETERMIN ED TO HAVE FAILED OF ITS ESS ENTIAL
PURPOSE, ALL LI MITATIONS OF LIABIL ITY AND EXCLUS IONS OF DAMAGES
SHALL REMAIN IN EF FECT.
13. RIGHTS IN DATA
Licensee acknowled ges that all soft ware and soft ware related it ems licensed by MIP S
to Licensee pursuan t to this Agreeme nt are “Commerci al Computer Sof tware” or
“Commercial Compu ter Softwar e Documentatio n” as dened in FAR 12.212 for civ ilian
agencies and DFARS 227.7202 fo r military age ncies, and that in t he event that Licen see
is permitted und er this Agreeme nt to provide such it ems to the U.S. gove rnment, such
items shall be provid ed under terms at l east as restr ictive as the te rms of this Agree ment.
14. MISCELLANEOUS
(a) The MIPS Deliver ables and GPL Mat erials may be subje ct to U.S. expo rt or impor t
control laws and expor t or import r egulations of oth er countries. L icensee agrees
to comply strictl y with all such laws an d regulations an d acknowledges t hat it has the
responsibility to o btain such licens es to export, r e-expor t, or import a s may be required
after delivery t o Licensee. Licen see shall indemn ify, defend and hold M IPS harmless f rom
any damages, fees, cos ts, nes, exp enses, charges a nd any actual or thr eatened civil an d/
or criminal claims or de fenses arising fr om any failure of Li censee and/or its cu stomers to
comply with any obliga tions arising un der this Sectio n 14(a).
(b) Any notice require d or permitte d by this Agreemen t must be in writ ing and must
be sent by email, by facsi mile, by recognize d commercial over night courier, or mai led by
United States regis tered mail, ef fective only upo n receipt, to the le gal departm ents of
MIPS or Licensee (if L icensee has no lega l departme nt, then to an ofc er of Licensee, a
contact person sp ecied by Licensee o r Licensee’s place of bu siness).
(c) The headings contai ned herein are fo r the convenience of re ference only and ar e
not intended to dene , limit, expand o r describe the scop e or intent of any clause o r
provision of this Agre ement.
(d) The parties h ereto are indep endent contra ctors, and not hing herein shal l be
construed to creat e an agency, joint vent ure, partn ership or other fo rm of business
association betwe en the partie s hereto.
(e) Licensee acknowle dges that, in prov iding Licensee wi th the MIPS Del iverables, M IPS
has relied upon Licen see’s agreement t o be bound by the term s of this Agreemen t.
Licensee furthe r acknowledges t hat it has read, un derstood, a nd agreed to be bound b y

15. GOVERNING L AW AND JURISDIC TION
This Agreement sha ll be governed by the l aws of the State of Cali fornia, exclud ing
California’s choice of law r ules. With th e exception of MIPS ’ rights to enforce i ts
intellectual pro perty righ ts in the MIPS Del iverables, a ll disputes aris ing out of this
Agreement shall be s ubject to the exclu sive jurisdic tion and venue of the s tate and
federal courts l ocated in Santa Cl ara County, Cali fornia, and the p arties consen t to the
personal and exclus ive jurisdict ion and venue of thes e courts. The p arties expr essly
disclaim the applica tion of the United N ations Conventio n on the Internat ional Sale of
Goods to this Agreeme nt.
16. ENTIRE AGREE MENT
This Agreement and t he GNU GPL const itute the entir e agreement bet ween MIPS
and Licensee regar ding the MIPS Del iverables and G PL Materials pr ovided to Licensee
hereunder, and shall su persede and cont rol over any other pr ior or contempor aneous
shrinkwrap an d/or clickwrap a greements re garding the sam e. Any additions o r
