Secure Content . Microsoft may, in conju nction with such l icense, also downlo ad revocation list s onto your

Device on behalf of Se cure Content Owne rs, which may disa ble your Device’s abili ty to copy, store, displ ay,

transfer, and/or play S ecure Content. S ecure Content Own ers may also requi re you to upgrade some of

the WM-DRM co mponents distr ibuted with thi s Software (“ WM-DRM Upgr ades”) before acces sing their

content. When you a ttempt to play Secur e Content, WM- DRM Softwar e built by Microsof t will notify

you that a WM-DR M Upgrade is requi red and then ask for yo ur consent before the W M-DRM Upgr ade

is downloaded. WM -DRM Softw are built by Philips m ay do the same. If you dec line the upgrade , you will

not be able to access Secu re Content that re quires the WM- DRM Upgrade; howe ver, you will still be able

to access unprotec ted content and Secur e Content that does n ot require the upgr ade. WM-DR M features

that access the Inte rnet, such as acqu iring new licenses a nd/or performi ng a required WM- DRM Upgrade,

can be switched of f. When these featu res are switche d off, you will still be a ble to play Secure Con tent if

you have a valid license fo r such content alread y stored on your Devi ce. However, you will not be abl e to

use certain of t he WM-DRM Sof tware feature s that require Int ernet access such as t he ability to downl oad

content that requ ires the WM-DR M Upgrade. All ti tle and intellec tual propert y rights in and to th e Secure

Content is the pro perty of the res pective Secure C ontent owners an d may be protected by ap plicable

Secure Content . To summarize, if the Soft ware contains Micro soft WM-DRM comp onents – Secure

Content you desire to dow nload, copy, store, displ ay, transfer, and/or play is prote cted by the Microsoft

WM-DRM compone nts of the Softw are. Microsoft, S ecure Content Owner s, or Secure Content

distributors may d eny you access, or restric t your access, to Secure Co ntent even after you have p aid

for, and/or obtained, it . Neither your consent no r the consent or approval of P hilips is necessar y for

any of them to deny, withho ld or otherwise rest rict your access to Secure C ontent. Philips do es not

guaranty that you w ill be able to download, co py, store, display, transf er, and/or play Secure Content .

5. Open Source Sof tware. (a) This soft ware may contain comp onents that are su bject to open-so urce terms,

as stated in the d ocumentation acco mpanying the Device . This Agreement d oes not apply to this sof tware

as such. (b) Your license rig hts under this Agr eement do not includ e any right or license to us e, distribut e

or create deriv ative works of the S oftware in any ma nner that would subje ct the Softwa re to Open

Source Terms. “Ope n Source Terms” means the te rms of any license that d irectly or indir ectly (1) create,

or purport to c reate, obligati ons for Philips with re spect to the Sof tware and/or der ivative works t hereof;

or (2) grant, or pur port to grant , to any third par ty any rights or imm unities under int ellectual prop erty or

proprietar y rights in the So ftware or der ivative works t hereof.

6. Termination. This A greement shall b e effective upon in stallation or r st use of the Soft ware and shall

terminate (i) at t he discretion of Phi lips, due to your failu re to comply with any te rm of this Agreeme nt;

or (ii) upon dest ruction of all copi es of the Softwar e and related mater ials provided to you by P hilips

hereunder. Philip s’s rights and your obli gations shall sur vive the termin ation of this Agreem ent.

7. U pg rad es. Philips may, at it s sole option, make upg rades to the Soft ware available by g eneral posting o n a

website or by any othe r means or methods. S uch upgrades may be mad e available pursu ant to the terms

of this Agreemen t or the release of such u pgrades to you may be sub ject to your accepta nce of another

agreement.

8. Support Ser vices. Philips is not o bligated to provid e technical or other su pport (“Sup port Serv ices”) for the

Software. I f Philips does provi de you with Suppor t Services, t hese will be governe d by separate term s to be

agreed betwee n you and Philips.

9. Limited Sof tware Warranty. Phili ps provides the Sof tware ‘as is’ and wi thout any warra nty except that the

Software wi ll perform subs tantially in accor dance with the docu mentation accompa nying the Softw are for

a period of one year af ter your rst dow nload, install ation or use of the Sof tware, whichev er occurs rst .

Philips’ entire li ability and your excl usive remedy for br each of this warra nty shall be, at Phi lips’ option, eith er

(i) return of the p rice paid by you for the Sof tware (if any); or (b) re pair or replaceme nt of the Softwar e

that does not meet th e warranty set f orth herein a nd that is returne d to Philips with a copy of your r eceipt.

This limited war ranty shall be vo id if failure of the Sof tware has res ulted from any accide nt, abuse, misus e

or wrongful app lication. Any rep lacement Softw are will be warr anted for the remai nder of the origina l

warranty pe riod or thirt y (30) days, whicheve r is longer. This limited w arranty sha ll not apply to you if the

Software wa s provided to you free o f charge on an evaluat ion only basis.
