Mitsubishi TV SoftwareEND-USER LICENSE AGREEMENT FOR E MBEDDED SOFTWARE
IMPORTANT – READ CAREFULLY: This License Ag reement is a legal agreeme nt between you (either an indi vidual or an entity) and
Mitsubishi Digital Electron ics America, Inc. (MDE A) for all software pre insta lled and/or provided alon g with this television (“Soft ware”).
By utilizing this television and Sof tware, you agree to be bound by the terms of th is License Agreement.
The Software is protected by United S tates copyright laws and internati onal treaty provisions, as wel l as other intellectual proper ty laws
and treaties. The Software is l icensed, not sold.
1. LICENSE GRANT. MDEA grants yo u a non-exclusive, non-transfer able, limited right and licens e to use one copy of the Software
only with the Mitsubishi television m odel that included this owner’s guid e and owned by you.
2. RIGHTS AND LIMITATIONS.
Software Not for Resale. You may not resell o r otherwise transfer for value t he Software, except in conjuncti on with a sale of the TV that
Software has been pre insta lled.
Prohibition on Reverse Engineer ing, Decompilation and Disa ssembly. The Software contai ns trade secrets or other prop rietary material
in its human perceivable form and to p rotect them, you may not reverse engine er, decompile, or disassemble, o r otherwise reduce the
Software to any human perceivabl e form, except to the extent that the foregoi ng restriction is expressl y prohibited by applicable law.
Separation of Components. The S oftware is licensed as a sin gle product. Its component pa rts may not be separated for use o n more
than one TV.
No Rental. You may not rent, lease, lend, or subli cense the Software.
Trademarks. This License Agreeme nt does not grant you any rights to any tra demarks of MDEA.
3. VIOLATIONS. You understand that any use, copying or tra nsfer of the Software, except as pe rmitted pursuant to this Lice nse, may
subject you to serious criminal a nd civil penalties including d amages and an award to MDEA of atto rneys’ fees in connection with any
violation of this License. You further un derstand that you may be held leg ally responsible for any copyr ight infringement or other vio lation
of intellectual property r ights that is caused, encoura ged, or induced by your failure to abi de by the terms of the License. This lic ense
is effective until terminated, and wi ll terminate immediately without n otice from MDEA or judicial re solution if you fail to comply with any
provision of this License.
4. COPYRIGHT. All title and intellectual pro perty rights in and to the Sof tware (including but not limi ted to any images, photographs,
animations, video, audio, music, tex t, and “applets” incorporated in to the Software), and any acco mpanying printed materials ar e
owned by or licensed to MDEA. All ti tle and intellectual proper ty rights in and to the content whic h may be accessed through use of th e
Software is the propert y of the respective content owner and m ay be protected by applicable copyr ight or other intellectual prop erty laws
and treaties. This License Agr eement grants you no rights to use s uch content, except that you own the media on w hich the Software is
recorded, but MDEA and its lice nsors retain ownership of th e Software itself. All rights not ex pressly granted are reser ved by MDEA.
5. EXPORT RESTRICTIONS. MDEA is lic ensing the Software for use wi thin the United States. You agree that you will not ex port
or re-export the Softwar e. You specifically agree not to expor t or re-export the Soft ware: (i) to any country to which th e U.S. has
embargoed or restricted the exp ort of goods or service s, which currently include, bu t are not necessarily limited to C uba, Iran, Iraq,
Libya, North Korea, Sudan, and Sy ria, or to any national of any such coun try, wherever located, who intends to tra nsmit or transport the
Software back to such country ; (ii) to any person or entity wh o you know or have reason to know will utilize the Sof tware in the design,
development, or production of nucl ear, chemical, or biological weapo ns; or (iii) to any person or en tity who has been prohibited f rom
participating in U.S. export tr ansactions by any federal age ncy of the U.S. government. You warrant and repre sent that neither the BXA
nor any other U.S. federal agency has s uspended, revoked, or denied your ex port privileges.
6. DISCLAIMER OF WARRANTY. EXCEPT AS OT HERWISE PROVIDED IN THI S LICENSE OR IN THE LIMITE D WARRANTY
APPLICABLE TO THE TV, MDEA MAKE S NO OTHER WARRANTIES OF A NY KIND WHATSOEVER REGA RDING THE SOFTWARE
AND HEREBY EXPRESSLY DISCL AIMS ALL WARRANTIES O F ANY KIND WHATSOEVER, E XPRESS OR IMPLIED, WITH
RESPECT TO THE SOFTWARE. A LL IMPLIED WARRANTIES , INCLUDING, WITHOUT L IMITATION, THE IMPLIED WARRANTI ES
OF MERCHANTABILITY AND FIT NESS FOR A PARTICULAR PURP OSE ARE HEREBY EXPRES SLY DISCLAIMED BY MDEA . IN
NO EVENT SHALL MDEA BE LI ABLE TO YOU OR ANY THIRD PARTIES , IN CONTRACT, IN TORT OR OTHERWISE , FOR ANY
DIRECT, INDIRECT, SPECIAL, INC IDENTAL OR CONSEQUENTIA L DAMAGES OF ANY KIND OR NATURE . BECAUSE SOME
JURISDICTIONS DO NOT ALLOW T HE EXCLUSION OR LIMITATION OF IMPLIE D WARRANTIES, THE ABOVE LI MITATION MAY
NOT APPLY TO YOU.
7. LIMITATION OF LIABILITY. MDEA SHALL NOT, UNDER A NY CIRCUMSTANCES BE LIAB LE TO YOU OR ANY THIRD
PARTIES FOR ANY DAMAGES OF ANY NATURE , WHETHER INDIRECT, SPECI AL, INCIDENTAL, CONS EQUENTIAL OR
OTHERWISE, INCLUDIN G, BUT NOT LIMITED TO, ANY CL AIMS FOR LOST PROFITS, LOSS O F GOOD WILL OR EXPENDITU RES
MADE OR COMMITTED FOR IN RE LIANCE ON THE CONTINUATION OF TH IS LICENSE. YOU AGREE THAT NEI THER MDEA’S
BREACH OF THIS LICENSE NO R ITS FAILURE TO REPAIR A DEFECT, ERROR OR BU G SHALL CONSTITUTE A FAILUR E OF THE
ESSENTIAL PURPOSE OF TH IS LICENSE. BECAUSE SO ME JURISDICTIONS DO N OT ALLOW THE EXCLUSION OR LIMI TATION
OF LIABILITY FOR CONSEQ UENTIAL OR INCIDENTAL DAMAG ES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. MDEA’s
liability to you for di rect damages for any c ause whatsoever an d regardless of th e form of the action, w ill be limited to the
money paid by you for the TV ( based on fair marke t value of the TV) t hat caused the dam ages.
